CORPORATE AREA

Compliance & Risk Management

Effective risk management and regulatory compliance are essential to the stability and long‑term development of modern organisations. A well‑structured compliance system helps prevent legal, operational and reputational risks while strengthening decision‑making processes and corporate governance.

Our Firm supports companies and organisations in building integrated and sustainable risk‑management frameworks, adopting a practical, prevention‑oriented approach. From risk mapping to the design of control measures, and from ongoing monitoring to continuous updates, we assist clients in developing solid organisational models aligned with operational needs and fully compliant with applicable regulations.

Our goal is to transform compliance from a formal requirement into a strategic lever — one that creates value, improves process efficiency and enhances the organisation’s credibility over time.

We operate across the main areas of corporate compliance, providing integrated solutions that ensure regulatory alignment and effective risk control in the fields of data protection (GDPR), whistleblowing and corporate liability under Italian Legislative Decree 231/2001.

Data Protection & GDPR

Data protection is now a central issue for all organisations, which must manage information in a compliant, secure and transparent manner. The GDPR, together with national legislation, imposes strict obligations and requires a risk‑based, accountability‑driven approach.

We assist companies and organisations throughout the entire GDPR compliance process: from mapping data processing activities and information flows to drafting and updating mandatory documentation, including privacy notices, internal policies, processing registers and data‑processing agreements.

We also support clients in managing data breaches, interacting with the Data Protection Authority and implementing appropriate technical and organisational measures, integrating privacy‑by‑design and privacy‑by‑default principles into business processes.

Whistleblowing

Whistleblowing is a key tool for the timely detection of violations and for strengthening organisational transparency and integrity. Current legislation (Legislative Decree 24/2023 implementing Directive (EU) 2019/1937) requires organisations to adopt reporting systems that meet strict confidentiality, independence and whistleblower‑protection standards.

We assist organisations in designing and implementing internal and external reporting channels, ensuring full protection of the whistleblower’s identity and compliance with data‑protection requirements.

Our work includes defining reporting procedures, integrating whistleblowing systems with existing controls — particularly 231 Models and codes of ethics — and training personnel involved in the process. We also support clients in managing reports, conducting internal verifications and interacting with competent authorities, even in sensitive legal and reputational contexts. Our goal is to turn whistleblowing into a practical risk‑prevention tool and a driver of organisational culture.

Corporate Liability (Italian Legislative Decree 231/2001)

Under Italian Legislative Decree 231/2001, companies and organisations may be held liable for certain offences committed in their interest or to their advantage. In this context, adopting an adequate Organisation, Management and Control Model (231 Model) is essential for preventing risks and, where applicable, excluding the entity’s liability.

We assist companies in drafting, updating and implementing 231 Models — from risk‑area mapping to defining protocols and internal control systems. Our work also includes staff training and support in designing organisational structures aligned with regulatory requirements and operational needs.

Where requested, our professionals serve as members of the Supervisory Body, carrying out independent oversight activities on the functioning and effectiveness of the Model and contributing to its continuous improvement.

Through an integrated, prevention‑oriented approach, we help organisations build effective governance systems capable of reducing risks and supporting solid, responsible growth.
